Draft and legal-review status

These Terms are a working draft for Singapore incorporation services surfaced through UpVue. They are not yet in force, do not replace an engagement letter, and remain subject to legal and professional review before any paid client launch.

Parties and operating model

UpVue is operated by DPW Pte. Ltd. as the platform operator. Regulated corporate-service work is carried out by the responsible licensed corporate service provider named to you separately before the engagement proceeds. DPW provides technology and workflow support; it does not act as a registered filing agent, corporate service provider, nominee director, bank, tax adviser or law firm.

When an engagement starts

Viewing this page, using public tools, or starting an intake does not create an engagement and does not reserve a company name, open a bank account, approve KYC, appoint a secretary or director, or submit anything to ACRA. A paid engagement starts only when the responsible provider is named, the required terms are accepted, payment terms are confirmed, and the provider agrees to act.

Package terms

The package descriptions and prices below are draft headline terms only. The final engagement must show what is included, what is excluded, government charges, third-party charges, renewal fees, add-ons and any facts that change the scope before you commit.

KYC, screening and professional review

Every relevant director, shareholder, beneficial owner and controller must complete the required KYC and AML/CFT checks. Identity verification and screening may use configured providers such as Veriff and NameScan. Automated checks prepare evidence and highlight risks, but they do not clear a party, make a professional decision, authorise a filing, or override the responsible provider.

Filing authority boundaries

Software may prepare forms, documents, registers, evidence packs and review queues. A qualified professional at the responsible provider must review the matter and authorise any filing step. ACRA, banks and other authorities or institutions make their own decisions.

No promises about outcomes or timelines

No company name, ACRA application, bank account, government registration, tax outcome, work-pass outcome, nominee appointment, KYC result, authority response time or bank response time is promised by this draft page. Timelines shown elsewhere are operational targets unless final terms say otherwise.

Fees, payment, cancellation and refunds

Fees are payable only under the final accepted engagement and payment terms. This page does not create a checkout, store card details, charge a client, or activate a payment workflow. Government and third-party fees may be non-refundable once paid or incurred. Cancellation rights, refund treatment, renewal charges and future payment mechanics must be stated in the final terms shown before commitment.

Client responsibilities

You must provide complete and accurate information, keep documents current, respond to review questions, disclose ownership and control facts, and avoid using the service for unlawful purposes. Incorrect or incomplete information can delay or stop the engagement and may lead to extra fees or authority charges.

Changes and conflicts

If final signed terms, an engagement letter, provider terms or authority requirements conflict with this draft page, the final signed or authority-specific terms prevail. DPW may update this draft as counsel and professional reviewers close open questions.
